By accessing, browsing, or using this Website, or by purchasing products or services through this platform, you acknowledge that you have read, understood, and explicitly agree to be bound by these Terms of Use and all applicable laws and regulations. If you do not agree to these terms, you must immediately discontinue your use of this Website.

These Terms of Use may be modified at any time for any reason. By using the maxpedition.mom website after such a modification, you agree to be bound by the Terms of Use as modified, so please review these terms regularly.

1. Relationship to Privacy & Security Policy

Your privacy and security are highly important to us. Our Privacy & Security Policy is a separate document that outlines our data handling, cookie/pixel tracking configurations, and information management practices. While the Privacy Policy is not a contractual part of these Terms of Use, you acknowledge that you have read it. You explicitly agree that any claims, disputes, or controversies arising out of or relating to the Privacy Policy, data privacy, data security, or data collection practices on this Website shall be governed exclusively by the Dispute Resolution and Mandatory Binding Arbitration frameworks set forth in Section 2 of this Agreement.

2. Dispute Resolution: Informal Negotiation, Mandatory Binding Arbitration, and Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT OR PARTICIPATE IN A CLASS ACTION.

2.1 Pre-Arbitration Dispute Resolution (Informal Negotiation)

Before initiating any formal legal or arbitration proceeding, you and Maxpedition agree to attempt to resolve the dispute informally. You must send a written, detailed notice of your claim (including your name, contact information, order number, and the specific relief sought) to info@maxpedition.mom with the subject line "Dispute Notice." Maxpedition will attempt to resolve the matter with you directly. Both parties agree to engage in good-faith negotiations for a minimum of sixty (60) calendar days from the date the Dispute Notice is received. A formal arbitration request cannot be filed until this 60-day informal negotiation window has expired.

2.2 Mandatory Binding Arbitration

If a dispute cannot be resolved through the informal process outlined in Section 2.1, any and all claims, controversies, or disputes arising out of or relating to these Terms, the use of this Website, or any products purchased from maxpedition.mom shall be resolved exclusively through final, binding individual arbitration administered by National Arbitration and Mediation ("NAM") or the American Arbitration Association ("AAA") under their applicable consumer rules, rather than in a court of law.

The arbitration provider and the appointed arbitrator shall have the exclusive authority to determine their own jurisdiction and resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or any part of these Terms are void or voidable.

Governing Law & Venue: These Terms and any arbitration proceedings hereunder shall be governed by the Federal Arbitration Act (FAA) and the laws of the State of California, without regard to conflict of law principles. Any arbitration hearings will be conducted remotely via teleconference or video conference unless the consumer requests an in-person hearing in their county of residence, in accordance with applicable AAA or NAM consumer rules.

2.3 Class Action Waiver

YOU AND MAXPEDITION EXPLICITLY AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, REPRESENTATIVE, OR COLLECTIVE ACTION. YOU EXPLICITLY WAIVE YOUR RIGHT TO ACT AS A CLASS REPRESENTATIVE OR PARTICIPATE AS A CLASS MEMBER IN ANY CLASS-ACTION LAWSUIT, PRIVATE ATTORNEY GENERAL ACTION, OR CLASS ARBITRATION AGAINST EDGYGEAR INC. OR MAXPEDITION.

2.4 Mass Arbitration Batching Protocols & Fee Halts

To protect against predatory mass filings intended to artificially inflate administrative overhead or leverage unfair settlements through filing fees, you and Maxpedition explicitly agree to the following sequential batching protocols:

  • Mass Filing Definition: If twenty-five (25) or more similar arbitration demands are asserted against Maxpedition by or with the assistance of the same law firm, collection of law firms, or coordinated legal entities within a ninety (90) day period, the claims shall be classified as a "Mass Filing."

  • Batching Requirements: The designated arbitration provider shall administer, process, and invoice the Mass Filing exclusively in sequential batches of fifty (50) individual demands per batch. Only one batch of 50 demands shall be filed, assigned an arbitrator, processed, and heard at any given time.

  • Tolling and Administrative Fee Halts: No administrative, case-management, filing, or arbitrator fees shall be assessed, billed, or due by Maxpedition for any demands remaining in the queue until the previous batch of 50 has been fully arbitrated, resolved, or settled. The statute of limitations for all claims waiting in the sequential queue shall be completely tolled until their specific batch is called forward.

  • Enforcement & Sanctions: A court of competent jurisdiction located in Los Angeles County, California shall have the sole authority to enforce this batching protocol, enjoin the improper administration of bulk arbitrations, and issue sanctions against any party or law firm attempting to violate these rules or assess fees in conflict with this section.

2.5 Right to Opt Out of Arbitration

You have the right to opt out of this mandatory binding arbitration agreement within thirty (30) days of the date you first accessed this Website or completed a purchase. To opt out, you must send an explicit written notice via email to info@maxpedition.mom with the subject line "Arbitration Opt-Out." Your opt-out notice must include your full name, mailing address, email address associated with your account/purchase, and a clear statement that you wish to opt out of binding arbitration. Opting out of arbitration has no effect on any other part of these Terms, including the Class Action Waiver (Section 2.3).

2.6 Severability of Arbitration Provisions

Notwithstanding Section 11 (Miscellaneous & Severability), if any court or arbitrator determines that the Class Action Waiver (Section 2.3) is void, invalid, or unenforceable for any reason, then the entirety of this Section 2 (Dispute Resolution: Informal Negotiation, Mandatory Binding Arbitration, and Class-Action Waiver) shall be deemed null and void, and the dispute must be litigated exclusively in a court of competent jurisdiction in Los Angeles County, California. However, if any court or arbitrator determines that the Mass Arbitration Batching Protocols (Section 2.4) are unenforceable, those specific batching terms shall be severed, and the remainder of Section 2—including the requirement for individualized binding arbitration—shall remain in full force and effect.

3. Intellectual Property, Trademarks, and Content

All content displayed on this Website—including but not limited to text, graphics, logos, images, digital downloads, data compilations, software, and industrial designs—is the exclusive property of Edgygear Inc. or its third-party content providers and is protected by United States and international copyright laws.

  • Trademarks: Maxpedition Hard-Use Gear® and Liger® are registered trademarks of Edgygear Inc. Except as otherwise explicitly provided in the Arbitration section of these Terms (Section 2.6), if any provision of these Terms and Conditions of Use is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable, that specific provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions, which shall remain in full force and effect. These Terms constitute the entire legal agreement between you and Edgygear Inc. relating to the utilization of this platform.
